A floating charge is a security interest over a fund of changing assets (e.g. stocks) of a company or other artificial person, which 'floats' or 'hovers' until the point at which it is converted into a fixed charge, at which point the charge attaches to specific assets of the business. This conversion of the floating charge into a fixed charge (called "crystallisation") can be triggered by a number of events. In most common law jurisdictions it is an implied term in security documents creating floating charges that a cessation of the company's right to deal with the assets (including by reason of insolvency proceedings) in the ordinary course of business leads to automatic crystallisation. Additionally, security documents will usually include express terms that a default by the person granting the security will trigger crystallisation. In most countries floating charges can only be granted by companies, LLPs or similar entities with separate legal personality. If an individual person or a partnership was to try to grant a floating charge, then in most jurisdictions which recognise floating charges this would be void as a general assignment in bankruptcy. Floating charges take effect in equity only, and consequently are defeated by a bona fide purchaser for value without notice of any asset covered by them. In practice, as the chargor has power to dispose of assets subject to a floating charge, so this is only of consequence in relation to disposals that occur after the charge has crystallised. The floating charge has been described as "one of equity's most brilliant creations." "A floating security is an equitable charge on the assets for the time being of a going concern. It attaches to the subject charged in the varying condition in which it happens to be from time to time. It is the essence of such a charge that it remains dormant until the undertaking ceases to be a going concern, or until the person in whose favour the charge is created intervenes. His right to intervene may of course be suspended by agreement. But if there is no agreement for suspension, he may exercise his right whenever he pleases after default." Later in Illingworth v Houldsworth AC 355 at 358 he stated: "...a floating charge is ambulatory and shifting in nature, hovering over and so to speak floating with the property which it is intended to affect until some event occurs or some act is done which causes it to settle and fasten on the subject of the charge within its reach and grasp." A description was subsequently given in Re Yorkshire Woolcombers Association 2 Ch 284, and despite Romer LJ clearly stating in that case that he did not intend to give a definition of the term floating charge, his description is generally cited as the most authoritative definition of what a floating charge is: - it is a charge over a class of assets present and future; - that class will be changing from time to time; and - until the charge crystallises and attaches to the assets, the chargor may carry on its business in the ordinary way. When conducting a recent review of the authorities, in keeping with that tradition, in National Westminster bank plc v Spectrum Plus Ltd UKHL 41, the House of Lords elected instead to describe the essential characteristic of a floating charge rather than define it, and they described it thus: "the asset subject to the charge is not finally appropriated as a security for the payment of the debt until the occurrence of some future event. In the meantime the chargor is left free to use the charged asset and to remove it from the security."

This video is about depreciation of fixed assets and how it impacts your Profit and Loss, Cash Flow Statement and Balance sheet. You'll also see what happens with your financials when you sell a fixed asset. Whether an item like a car is classified as a fixed asset or inventory depends on its business purpose. Depreciation is a way of allocating the cost of an asset over its useful life. It is a non-cash expense in the Profit and Loss. It is eliminated from Net Profit in the Cash Flow Statement to derive Operating Cash Flow. Accumulated Depreciation is the cumulative depreciation expense that decreases the net book value of the fixed asset. When a fixed asset is sold, its net book value is the basis for calculating whether there is a profit or loss on the sale. This profit is not cash. It is the proceeds of sale of the fixed asset that is cash flow. Therefore, an adjustment is made to Net Profit in the Cash Flow Statement for the Profit or Loss on Sale of Fixed Assets. This is paired with bail-in regimes popping up throughout the world. Banks are not holding what they claim to be holding and central planning is rampant, devaluing currency and forcing people into poverty, debt and subservience. This coincides with the "Emergency Economic Stabilization Act of 2008" in the United States (H.R.1424) as well as the conspiring of the globalist "Financial Stability Board" at G20. On top of this recent development, the Department of Justice in the United States headed by Attorney General Jeff Sessions is pushing for vast overreach by the Federal government when it comes to civil asset forfeiture. As Trump mentioned early in his presidency despite not knowing anything about it, he committed to giving government and police the right to seize assets. Under this new implementation, the federal government can supersede states who don't allow civil asset forfeiture and seize assets from people even without any criminal conviction or charge. Assets are one of the few ways people can hide their hard earned money from the extortion of the state and this proves to be an attack on those with financial responsibility. The government loves a populace in debt and poverty. People are simply easier to control when they're in debt. They can push people down a bottomless pit of debt and force them to ask for a ladder up from the government and banking system putting them in complete servitude. Thai king takes control of some $30bn crown assets Thailand's King Maha Vajiralongkorn has been granted full, personal ownership of royal assets thought to be worth at least $30bn (£22bn). The Crown Property Bureau, which controlled the royal fortune on behalf of the monarchy, said it transferred ownership of the assets following a change in the law last year.It means taxes are liable on royal assets for the first time.Maha Vajiralongkorn, 65, became king in December 2016.He succeeded his much-revered father King Bhumibol Adulyadej, who was the world's longest-reigning monarch when he died in October 2016. Thailand has strict lese majeste laws, which ban criticism of the monarchy. The laws have also shielded the royal family from public view and scrutiny.The Crown Property Bureau said in a statement it was required "to return whatever asset of the Crown property previously under its charge, to His Majesty so that His Majesty may take decisions on all matters pertaining to their charge and management at his discretion".The assets include shares in various companies. The statement went on to say: "His Majesty made the decision to make the 'Crown Property Assets' be subject to the same duties and taxation as would assets belonging to any other citizen".It also pledged to ensure the management of assets would be "transparent and open to scrutiny".The Crown Property Bureau (CPB) has been managing royal assets since it was established in 1938 and, until now, has been run by at least four royally-appointed directors and included the minister of finance.The extent of the CPB's wealth is not known. When machinery and equipment to be used by an entity are  constructed  rather than purchased, a problem exists concerning the allocation of overhead costs. These costs may be handled in one of two ways: (a) assign no fixed overhead to the cost of the constructed asset,  or (b) assign a portion of all overhead to the construction process. The second method called a full ­costing  approach  appears  preferable  because  of  its  consistency  with  the  historical  cost  principle. It should be noted that the cost recorded for a constructed asset can never exceed the price charged by an outside produce.  Capitalization  of  interest  cost  incurred  in  connection  with  financing  the construction  or  acquisition  of  property,  plant,  and  equipment  generally  follows  the  rule  of capitalizing  only  the  actual  interest  costs  incurred  during  construction.  While  some modification  to  this  general  rule  occurs,  its  adoption  is  consistent  with  the  concept  that  the historical cost of acquiring an asset includes all costs incurred to bring the asset to the condition and location necessary for its intended use. To qualify for interest capitalization, assets must require a period of time to get them ready for  their  intended  use.  Assets  that  qualify  for  interest  cost  capitalization  include  assets  under construction for an enterprise’s own use  such as buildings, plants, and machinery) and assets intended for  sale  or  lease that  are  constructed  or  otherwise  produced  as  discrete  projects  (like ships or real estate developments). The period during which interest must be capitalized begins when three conditions are present: (a) expenditures for the asset have been made; (b) activities  that are necessary to get the asset ready for its intended use are in progress; and (c) interest cost is being incurred. The  amount  of  interest  to  capitalize  is  limited  to  the  lower  of  (a)  actual  interest  cost incurred  during  the  period  or  (b)  the  amount  of  interest  cost  incurred  during  the  period  that  theoretically  could  have  been  avoided  if  the  expenditure  for  the  asset  had  not  been  made (avoidable  interest).  The  potential  amount  of  interest  that  may  be  capitalized  during  an accounting period is determined by multiplying interest rate(s) by the weighted­ average amount of accumulated expenditures for qualifying assets during the period.  12.  Examples  which  demonstrate  computation  of  the  weighted ­average  accumulated expenditures  and  selecting  the  appropriate  interest  rate  are  included  in  the  chapter.  Also,  a  comprehensive illustration of interest capitalization is shown in the text. This illustration includes both the computations and the related journal entries that should be made in a situation when an  asset is constructed and capitalizable interest is a part of the transaction.   Two special issues relate to interest capitalization. If a company purchases land as a site for a structure, interest costs capitalized during the period of construction are part of the cost of the plant, not the land. In addition, companies should generally not net or offset interest revenue against interest cost.  Interest capitalization, self constructed asset, GAAP, non current assets, plan assets,. fixed assets, Plant assets, property plant and equipment, PP&E, fixed assets, depreciation expense, accumulated depreciation, gain on disposal of plant assets, acquisition cost, land improvement, salvage value, residual value, useful life, straight line method, units of production, double declining balances, MACRS, ACRS, book value, carrying value,

CapEx versus OpEx. Capital Expenditures versus Operating Expenditures. There is a finance and accounting aspect to the terms CapEx and Opex, as well as a business model aspect. Let’s discuss both, and walk through some examples of how the terms CapEx and OpEx are used. CapEx is Capital Expenditures. OpEx is Operating Expenditures. What these terms have in common is the word expenditures, you are spending money, but in different ways. Capital Expenditures. As a working definition of CapEx, this is money spent by a business or organization to acquire or upgrade fixed assets, such as buildings, machines and equipment. Operating Expenditures. If CapEx is the upfront investment to buy a fixed asset, then a working definition of OpEx is the ongoing spending to keep the fixed asset running. For an expenditure to be considered as CapEx, you have to own an asset. There is a threshold level for expenditures to qualify as CapEx: there must be a useful life of more than one year, and the asset value must be more than a minimum amount. I have worked with a company where this minimum was $2500, and others where it was $7000. Please check with the finance department of your company on what your minimum level is. How about that part of maintenance where you are improving the performance of a machine and increase its capacity? What about software developed for internal use? What about the development phase of R&D? You could argue in all three cases that future economic benefits are generated by these projects, and according to the matching principle in finance it would be appropriate to capitalize these costs, and subsequently depreciate or amortize these assets over their useful life. Each of these cases will have to be evaluated carefully against current US GAAP or IFRS rules (depending on where your company is listed), and you will have to meet very strict criteria to apply a CapEx treatment. How does CapEx affect the financial statements? Let’s take a look at the balance sheet, the income statement and the cash flow statement, when we answer the question “does this expenditure qualify for CapEx (it meets the capitalization criteria) or it does not qualify as CapEx?”. First of all, the CapEx spend is a cash outflow recorded in “Cash From Investing Activities”. On the balance sheet, it gets accounted for as an asset, in the Plant and Equipment category. Over the years of its useful life, the asset gets depreciated, and the depreciation charge hits the income statement or P&L in each of the years of the assets’ economic life. I can’t give you a “one size fits all” answer to this question, it’s really something that an IT manager and a finance manager should analyze together. Risk and scale should be part of this conversation. The evaluation is a variation of the age-old “own versus use”, “buy versus rent”, “buy versus lease” discussion, which is more relevant than ever before in these days of ubiquitous digital devices and tools, disruption of mobility models through Uber and others, and disruption of the travel and leisure models through Airbnb.
